6. Payment Terms

7. Cancellation Policy

Cancellation terms for Event Services will be outlined in the applicable service agreement. Topaz Events LLC reserves the right to modify cancellation terms, provided that any changes to existing agreements will be communicated in writing and agreed upon by both parties.

General cancellation provisions may include:

• Full refund if cancelled within a specified timeframe before the event
• Partial refund depending on the timing of cancellation
• Non-refundable deposits
• Fees for services already rendered

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOPAZ EVENTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL TOPAZ EVENTS LLC TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Topaz Events LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of a third party

10. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TOPAZ EVENTS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Topaz Events LLC does not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Force Majeure

Topaz Events LLC shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government orders, war, terrorism, civil unrest, strikes, or disruptions to essential services.

In the event of a force majeure occurrence, Topaz Events LLC will make reasonable efforts to notify affected clients and work toward alternative arrangements.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Utah County, Utah.

13. Dispute Resolution

Prior to initiating any legal action, the parties agree to attempt to resolve any dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts as outlined in Section 12.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

15. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Topaz Events LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Topaz Events LLC regarding the use of the Site and Services. These Terms supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

17. Modifications to Terms

Topaz Events LLC reserves the right to modify these Terms at any time. When we make changes, we will update the Effective Date at the top of these Terms. Material changes will be communicated through the Site or via email. Your continued use of the Site after modifications constitutes acceptance of the updated Terms.
